What is tokenization of assets?
Tokenization of assets is the issuance of a blockchain token that represents a legal claim on something that exists off-chain: an apartment block, a credit portfolio, a vault of bullion, a fund unit, or a slice of company equity. The token is a transfer and settlement instrument. The enforceable ownership still lives in a legal wrapper — an SPV, a trust, a fund — and the token contract is the register of who holds what.
The distinction matters. A native crypto asset is worth whatever its own network is worth. A tokenized real-world asset (RWA) is worth whatever the underlying claim is worth, discounted for the credit quality of the issuer, custodian and auditor standing behind it. Tokenization is a plumbing upgrade, not an alchemy.
How tokenization works, step by step
- Step 1 — Structuring
The asset is isolated inside a ring-fenced legal entity so that token holders have a clean, bankruptcy-remote claim.

An independent valuer prices the asset; an auditor confirms the entity holds it free of undisclosed encumbrances.

Units of the entity are minted as tokens under an applicable securities exemption or prospectus.

Whitelists, transfer restrictions, lock-ups and jurisdiction rules are enforced directly in the token contract.
- Step 5 — Distribution
Tokens are placed with qualified investors through a regulated venue or a permissioned primary market.
- Step 6 — Servicing
Rent, coupons or dividends are distributed on-chain; NAV, occupancy or collateral data is published on a fixed cadence.
- Step 7 — Secondary transfer
Holders trade on permissioned venues with atomic delivery-versus-payment against a regulated cash token.

Legal wrappers, custody and the register question
Every credible tokenized instrument answers one question first: if the chain vanished tomorrow, who still owns the asset and how is that proven? The answer is the legal wrapper. An SPV holds the asset; its constitutional documents state that the token contract is the definitive register of unit holders; a custodian or trustee holds the underlying; an auditor attests on a fixed schedule.
In most jurisdictions the resulting token is a regulated security. Blockchain changes the settlement rail, not the securities law. Offerings still run under prospectus, private-placement or professional-investor regimes, and transfer restrictions are coded into the contract precisely so on-chain reality never diverges from the legal register.
The institutional diligence checklist
- Is the underlying asset ring-fenced in a bankruptcy-remote entity, and can you read its constitutional documents?
- Who is the custodian, and how often is custody independently attested?
- Does the token contract enforce the same transfer restrictions as the legal register?
- What is the redemption mechanism, and what happens if redemptions exceed liquidity?
- Which oracle or reporting process publishes NAV, and on what cadence?
- Who can freeze, burn or re-issue tokens, and under what documented governance process?
- What is the fee stack end-to-end — issuance, management, custody, venue, redemption?
